Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Bips LLC (“Bips,” “we,” “us,” or “our”) governing your access to and use of our website, mobile applications (available on iOS and Android), and AI-powered bookkeeping services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Our Services are intended for business use only. By using the Services, you represent that you are using them on behalf of a business entity and that you have the authority to bind that entity to these Terms.

Description of Services

Bips provides an AI-powered bookkeeping platform that connects to your financial accounts, categorizes transactions, generates profit and loss statements, tracks mileage for potential IRS deductions, and provides financial insights through a chat interface. Our Services are available via our website and mobile applications and are designed to assist small businesses with bookkeeping tasks and financial organization.

Account Registration

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Financial Account Connections

Our Services use Plaid Inc. (“Plaid”) to connect to your financial accounts. By linking your accounts, you authorize Plaid to access your financial data on your behalf. Your use of Plaid’s services is subject to the Plaid End User Privacy Policy, available at https://plaid.com/legal/#end-user-privacy-policy. We do not receive, access, or store your bank login credentials.

Mileage Tracking

Our mobile application includes a mileage tracking feature that uses your device’s GPS, including background location access, to calculate distances traveled during active trips you initiate. Background location access allows the app to track mileage accurately even when the app is not in the foreground, such as when your screen is off or you are using another application.

You may revoke background location permission at any time through your device settings. If you revoke location access, automated mileage tracking will not function, and accuracy may be reduced. You may still manually enter mileage within the app.

The Services include AI-powered tools that may provide guidance, suggestions, and general information about bookkeeping, financial management, and related topics. This guidance is intended to help you organize and understand your business finances, but it does not constitute financial advice, tax advice, legal advice, or professional accounting services.

You are solely responsible for evaluating any guidance provided by our Services and for making your own business, financial, tax, and legal decisions. We strongly encourage you to consult with qualified professionals, including certified public accountants (CPAs), tax advisors, and attorneys, before acting on any information provided through our Services or making significant financial, tax, or legal decisions.

AI Limitations and Accuracy

Our Services use artificial intelligence to categorize transactions and generate financial insights. AI technology has inherent limitations and may produce inaccurate, incomplete, or inappropriate outputs. AI can hallucinate, meaning it may generate information that appears plausible but is factually incorrect.

You are responsible for reviewing and verifying all information provided by our Services, including transaction categorizations, profit and loss statements, and any other outputs. You should not rely solely on our Services for tax preparation, financial reporting, or any other purpose where accuracy is critical. We strongly recommend that you review all outputs with a qualified professional before using them for tax filings, financial decisions, or official business purposes.

No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, reliability, or suitability of any information provided through our Services. Transaction categorizations are automated suggestions and may not reflect the correct accounting treatment for your specific situation. Profit and loss statements generated by our Services are not audited financial statements and should not be treated as such.

Tax Preparation Services

Bips may offer access to tax preparation services through independent, third-party certified public accountants and enrolled agents (“Tax Partners”). Tax Partners are not employees, agents, or representatives of Bips. Bips does not provide tax preparation services directly and is not a CPA firm.

If you elect to use a Tax Partner through Bips, you understand and agree to the following:

• Tax preparation services are provided by an independent Tax Partner, not by Bips. Bips is not responsible for the quality, accuracy, timeliness, or completeness of any tax preparation work performed by a Tax Partner.

• Bips will share your name and email address with your assigned Tax Partner to facilitate communication. Your Tax Partner will not have access to your financial data within Bips unless you independently provide your CPA Export Package to them.

• The base price for tax preparation services is listed within the Services. However, actual fees may be higher if your financial profile is complex. If the estimated fee exceeds the base price, you will be notified before any tax return is filed and given the option to proceed or decline.

• If you decline to proceed after receiving a higher estimate, you will receive a full refund of any tax preparation fees you have already paid.

• Once a tax return has been filed on your behalf by a Tax Partner, tax preparation fees are non-refundable.

You acknowledge that Bips is facilitating a connection between you and an independent Tax Partner, and that any engagement for tax preparation services is between you and the Tax Partner. You should independently evaluate the qualifications and suitability of any Tax Partner before proceeding.

Banking Partner Referrals

Bips may refer you to third-party financial institutions, such as Utah Community Credit Union (“UCCU”), for banking products that may complement your business needs. Bips is not a bank, credit union, or financial institution and does not provide banking, lending, or financial products of any kind.

Any applications for financial products are submitted to and processed entirely by the partner financial institution on their own systems. Bips does not participate in, review, or have access to any application, identity verification, credit decision, or account information associated with these products. All terms, conditions, and fees associated with any financial product are determined solely by the partner institution.

Bips makes no representations or warranties regarding the products, services, or decisions of any partner financial institution. Your interaction with any partner institution is governed by that institution’s own terms and privacy policy.

User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws and regulations, including tax and accounting requirements.

You are solely responsible for the accuracy of the information you provide to us and for verifying all outputs generated by our Services. You acknowledge that you, not Bips, are responsible for your bookkeeping, accounting, tax filings, and financial decisions.

The Services are not intended to be used for credit decisions, employment screening, tenant screening, insurance underwriting, or any other purpose that would make the outputs a “consumer report” under the Fair Credit Reporting Act. You agree not to use the Services for any such purpose.

You agree not to use the Services to:

• Transmit any unlawful, harmful, or objectionable content

• Attempt to gain unauthorized access to our systems

• Interfere with or disrupt the Services

• Reverse engineer or attempt to extract the source code of our software

• Use the Services in any manner that could damage, disable, or impair our systems

Payment Terms

Access to the Services requires a paid subscription. The subscription fee is billed monthly at the rate displayed at the time of your signup. By providing your payment information and completing your subscription, you authorize us to charge your payment method on a recurring monthly basis.

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Services until the end of your current billing period, at which point your account and its data will be deleted from our active systems. Residual copies may persist in encrypted backups for a limited period as part of our standard data recovery infrastructure, after which they are automatically purged. We do not provide prorated refunds for partial billing periods.

We reserve the right to change our pricing at any time. We will provide you with reasonable notice of any price changes, and your continued use of the Services after the price change takes effect constitutes your agreement to the new pricing.

Intellectual Property

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, and software, are owned by Bips or our licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes in accordance with these Terms.

You retain ownership of the data you provide to us. By using the Services, you grant us a limited license to use, process, and store your data solely to provide and improve the Services.

Mobile Application Terms

The following additional terms apply to your use of the Bips mobile application:

• The mobile application is available for download on iOS (via the Apple App Store) and Android (via the Google Play Store).

• You acknowledge that these Terms are between you and Bips only, and not with Apple Inc. or Google LLC. Apple and Google are not responsible for the Services or their content.

• Apple and Google have no obligation to provide maintenance or support services for the mobile application.

• In the event of any failure of the mobile application to conform to applicable warranties, you may notify Apple or Google for a refund of the purchase price (if any). To the maximum extent permitted by law, Apple and Google have no other warranty obligation with respect to the mobile application.

• Apple and Google are not responsible for addressing any claims by you or any third party relating to the mobile application, including product liability claims, consumer protection claims, or intellectual property claims.

• Apple and Google are third-party beneficiaries of these Terms as they relate to your use of the mobile application, and each has the right to enforce these Terms against you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID US ANY AMOUNTS IN SUCH PERIOD, OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF ANY LIMITED REMEDY SPECIFIED IN THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Indemnification

You agree to indemnify, defend, and hold harmless Bips and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Services, your violation of these Terms, your violation of any applicable law or regulation, your violation of any rights of a third party, or any data or content you submit to the Services.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by canceling your subscription and ceasing to use the Services.

If you terminate your account by canceling your subscription, you will retain access to the Services until the end of your current billing period, at which point your access will cease and your user data will be deleted in accordance with our Privacy Policy. If we terminate or suspend your access for cause, we may do so immediately and without a refund. Provisions of these terms that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, indemnification, and governing law.

Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Salt Lake City, Utah, unless otherwise agreed by the parties. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Bips.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah.

Modification to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, within our mobile application, and updating the “Last Updated” date. Your continued use of the Services after any changes constitutes your acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Bips concerning the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
